Ok, first off, is your cable or dsl modem also a router (tyipcailly 4 ports on it)? If so, just plug both PCs into 2 of the ports. If it's only a modem and not a router, then I'd go with a router, not a switch (unless your switch in question handles IP addressing).
But in any case, at least make sure your internet source (cable or dsl modem/router) is connected to the internet port of the switch. Depending on the switch there may be an "uplink" or "in" port. Then plug the 2 PCs into 2 of the ports on the switch. You may have to power cycle all the devices for initial connectivity if things have been borked as you've tweaked them.
On the computer with 2 NICs I'd either disable one of them, or take it out as it's not needed if you simply just want internet connectivity. If the onboard LAN connection is better than the PCI card - take the PCI card out. If the PCI card is better - just disable the onboard LAN connection.

If all you want to do is have both PCs connected to the internet then make sure you have a router. Connect each PC to the router, and you are done, no need for a second NIC in either of them.
Using one PC with two NICs and ICS works, but isn't anywhere near an optimal configuration if you ask me. First off you don't have any kind of hardware firewall between you and the internet. You will become infected with something in short order. Secondly you will always need to have the PC with the two NICs on anytime you want to access the internet on the other computer. After all of that it just flat out doesn't work very well when compared to even the cheapest of routers.
