this is what ive got...
1 box running win2kpro
1 box running win98se
Netgear RT314 router
both computers are internet capable now i want to be able to swap files from box to box. as of now i have named the win2k box and created a workgroup, at this point what must i do to be able to access either box from the other?
for the win2k box im constantly logged in as the admin.

I'm not sure about the 2k box, but on the 98SE you'll need to 'share' the drive or folders. If you go to properties of the drive, you'll see an entry for sharing. It's straight forward. The 2k box probably has similar if not the same method for sharing. Hope this helps. In my case I'm sharing between 98SE and WinMe, works great. In fact, there are a couple of graphic programs that reside on the 98 box that I can run on the Me box. Most programs don't because they expect to find registry entries on the machine invoking the program.

ok ive set share properties for a folder on the 2k box but how do i access it from the 98 machine and vice versa?
when i go into "my network places" and click on entire network then on microsoft windows network i see my workgroup but when i try to open it, it says its not accessible and the server list is not available.
what do i need to do here on the win2k machine, create a user, what?

Install NetBuei,
Install file and print sharing on the 98 box.
Bind NetBuei to file and print sharing, unbind it from TCP/IP.
Make sure both computer are in the same work group(the same work group name).
On the 2k box have a user name and password that matches that of the windows 98 machine.
That should do it.

Windows NT has user accounts, and permissions that go with those accounts. What you have to do, is in User Manager on the NT box, create a username and a password that matches the log in that you do on the Win9X box. Or you can simply make up a new one, and log in on the 9X box with that username and password. On the folders you wish to share, when you share it, make sure you add that user account to the share.
Make sure the Win9X box is logging in with Client for Microsoft Networks as it's primary logon.
You're fine with just TCP/IP, you don't NEED NetBEUI. NetBEUI can be more secure for small networks because it's not routable...and in the cases where you may be DMZ'ing a computer in the router, or opening/forwarding ports on your router, using NetBEUI can be more secure. If you are not DMZ'ing a box, or not forwarding any ports....using NetBEUI means nothing for security.
Example of the username and password. On the 2K box you may log in as Adminstrator as the username, and you may or may not have a password. On the Win9X box, you might log in as johndoe with a username of iforget. On the 2K box, create a user account...with the username of johndoe and a password of iforget. On your folder share, add johndoe to the share...make sure that account has all rights..if you want that. On Win9X, if you wish to change the logon username...simply change it. Or better yet...do a search for *.PWL....and delete all the files that end up being found. Log off..log on again, create a new one from scratch...enter the username, password, and confirm the password one more time. Your new <username>.pwl is now created.
