Sorted it, it's the coolsrv.exe service belonging to CPUCool. I tried to set the service to disabled but it started again and thats why it was reading 100%.

and why would u be using a cpu cooler in win2k/xp? if you install with acpi enabled (most ppl do who aren't hideous freaks of nature who think every lsat .00000001 kbyte/sec of mem bandwidth or pci bandwidth matters) then it'll send halt commands to the cpu on its own w/ OUT the coolcpu prog or whatever.
